Terms of Service

By accessing or using the Auris Intelligence Inc ("Auris," a Delaware corporation) platform at aurisintelligence.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms at any time; continued use constitutes acceptance.

Auris Intelligence provides software tools that generate Opportunity Zone tax analysis and financial projections based on inputs you provide. The Service is designed for informational and planning purposes. All outputs — including estimated tax savings, internal rates of return (IRR), equity multiples, and scenario comparisons — are computational estimates derived from user-supplied data and publicly available tax rules.

The Service does not provide tax advice, legal advice, investment advice, or financial planning services. Auris Intelligence Inc is not a registered investment advisor, tax attorney, CPA firm, or broker-dealer. Nothing on the Service constitutes a recommendation to buy, sell, or hold any investment, or to take any specific tax position.

All results produced by the Service are estimates based solely on the information you enter. Actual tax outcomes depend on facts and circumstances specific to your situation, changes in applicable law, and the judgment of qualified professionals. You should consult a licensed tax advisor, attorney, or financial advisor before making any investment or tax decision.

Auris Intelligence makes reasonable efforts to reflect current Opportunity Zone rules, including OZ 1.0 (IRC §1400Z-2) and OZ 2.0 (as amended by the One Big Beautiful Bill Act, signed July 4, 2025). However:

• Tax law is complex and subject to change. Treasury guidance on OZ 2.0 is still being published.
• Results depend entirely on the accuracy of the data you provide.
• The Service does not account for all possible tax situations, entity structures, or state-specific rules.
• IRR and return projections are forward-looking estimates and are not guarantees of performance.

We make no warranty, express or implied, that the results are accurate, complete, or suitable for any particular purpose.

You agree to:

• Provide accurate information when using the Service
• Use the Service only for lawful purposes
• Maintain the security of your account credentials
• Not attempt to reverse-engineer, scrape, or disrupt the Service
• Not use the Service to provide professional advice to others without appropriate licensure

All content, software, models, and methodologies on the Service are owned by Auris Intelligence Inc and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Service without our written permission. Your deal data and inputs remain yours.

To the fullest extent permitted by law, Auris Intelligence Inc and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or financial losses — arising out of or related to your use of the Service, even if advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may cancel your account at any time. Upon termination, your right to use the Service ceases immediately.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction there.
